1. Acceptance of These Terms

These Terms and Conditions ("Terms") govern your access to and use of www.beees.ae (the "Website") and the BeEES Digital Hive learning platform (the "Digital Hive"), together with any corporate training, coaching, team-building, or L&D outsourcing services provided by BeEES Business Partner ("BeEES", "we", "us"). By accessing the Website, creating a Digital Hive account, or engaging BeEES for services, you agree to be bound by these Terms. If you do not agree, please do not use the Website, the Digital Hive, or our services.

2. Who We Are

BeEES Business Partner is a boutique learning and development business partner operating from global hubs in the United Arab Emirates, serving clients across the UAE and Africa. Registered business name: BeEES Digital Talent Hive LLC. Registered address: Fujairah, UAE.

3. Our Services

BeEES provides, among other things:

• Corporate Training: leadership, communication, service excellence, digital literacy, business ethics, and related workplace training modules.
• Team Building: workshops and simulations designed to strengthen collaboration and trust within teams.
• L&D Outsourcing: fractional/outsourced Chief Learning Officer (CLO) services, Learning Needs Analysis, onboarding design, LMS implementation, competency mapping, and Train-the-Trainer certification.
• Coaching: first-time manager and supervisor coaching programs.
• The BeEES Digital Hive: an online platform through which participants may access course content, track progress, complete assessments, and receive certificates.
• Published content: books and materials such as "Sand to Summit" by Sammy Njenga (purchases through third-party retailers such as Amazon are governed by that retailer's own terms).

Specific engagements will typically be confirmed through a separate proposal, quotation, statement of work, or order confirmation ("Order"). Where an Order conflicts with these Terms, the Order will govern for that specific engagement.

4. Eligibility and Accounts

You must be at least 18 years old, or engaging on behalf of an organization with authority to do so, to use our services or create a Digital Hive account. When you create a Digital Hive account, you agree to:

• Provide accurate and current registration information.
• Keep your login credentials confidential and notify us immediately of any unauthorized use.
• Be responsible for all activity that occurs under your account.

Where a corporate client provisions Digital Hive accounts for its employees, the corporate client is responsible for ensuring it has the right to share employee data with BeEES for this purpose.

5. Intellectual Property

All course materials, curricula, frameworks (including but not limited to the "Heart Over Hierarchy" philosophy and related BeEES program names such as the "Hive Sync" Workshop), templates, videos, presentations, website content, and the BeEES name, logo, and "Pollinating Excellence, Building Your Hive" branding are the intellectual property of BeEES Business Partner or its licensors, protected under applicable UAE and international intellectual property law.

• You may use Digital Hive content for your own personal learning or, where a corporate license applies, for internal training within your organization.
• You may not copy, reproduce, resell, redistribute, publicly display, or create derivative works from BeEES materials without our prior written consent.
• Any custom materials developed for a specific corporate client under a written engagement will be governed by the intellectual property terms set out in that engagement's Order or contract.

6. Payment Terms

• Fees for corporate training, coaching, and L&D outsourcing engagements are set out in the applicable Order and are payable according to the schedule stated there (commonly a deposit on confirmation with the balance due before or upon delivery, unless otherwise agreed in writing).
• Fees for Digital Hive course access or subscriptions, where sold directly through the platform, are shown at the point of purchase in the applicable currency and are payable in full at checkout unless a payment plan is expressly offered.
• All fees are exclusive of applicable UAE VAT unless stated otherwise; VAT will be added where required by law.
• Late payment may result in suspension of services or Digital Hive access until outstanding amounts are settled.

7. Cancellations, Rescheduling, and Refunds

Cancellation, rescheduling, and refund terms for training engagements and Digital Hive purchases are set out in our separate Refund and Cancellation Policy, which forms part of these Terms.

8. Acceptable Use

When using the Website or Digital Hive, you agree not to:

• Share your account credentials or allow unauthorized persons to access paid content.
• Upload or transmit unlawful, defamatory, infringing, or harmful content.
• Attempt to reverse-engineer, scrape, or interfere with the security or operation of the Website or Digital Hive.
• Use BeEES services for any purpose that is unlawful or prohibited under UAE law.

We reserve the right to suspend or terminate access for any user who breaches this section.

9. Client and Participant Responsibilities

For corporate training, coaching, and team-building engagements, the client agrees to provide accurate information about participants and objectives, ensure participant attendance and engagement, and provide a suitable venue or platform access where the client is responsible for logistics, unless otherwise agreed in the Order.

10. Disclaimers

Our services are provided on a professional, good-faith basis, drawing on the experience and expertise described on our Website. However, we do not guarantee specific business outcomes, revenue results, promotions, or performance improvements, as these depend on factors outside our control, including client implementation and market conditions. The Website and Digital Hive are provided "as is" and "as available," and we do not warrant that they will be uninterrupted or error-free.

11. Limitation of Liability

To the fullest extent permitted by UAE law, BeEES's total liability arising out of or relating to these Terms or any services shall not exceed the total fees paid by you (or your organization) for the specific engagement giving rise to the claim in the twelve (12) months preceding the claim. BeEES shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunity. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under UAE law.

12. Indemnification

You agree to indemnify and hold BeEES harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Website or Digital Hive, or violation of applicable law.

13. Third-Party Links and Content

The Website and Digital Hive may contain links to third-party sites (such as book retailers, social media, or partner tools). BeEES is not responsible for the content, policies, or practices of any third-party site.

14. Confidentiality

Both parties agree to keep confidential any non-public business, participant, or proprietary information shared in the course of a training, coaching, or outsourcing engagement, and to use it solely for the purpose of delivering the agreed services, except where disclosure is required by law.

15. Termination

We may suspend or terminate your access to the Digital Hive, or decline to continue a services engagement, if these Terms are breached, if payment is not received, or for other reasonable business cause, with notice where practicable. You may terminate your Digital Hive account at any time by contacting support@beees.ae, subject to the Refund and Cancellation Policy for any amounts already paid.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates. Any dispute arising from these Terms or our services shall first be addressed through good-faith negotiation and, if unresolved, submitted to the exclusive jurisdiction of the competent courts of the UAE, or such other forum as the parties agree in writing (e.g. arbitration) for a specific engagement.

17. Changes to These Terms

We may update these Terms from time to time. The "Effective Date" at the top of this document reflects the latest revision. Continued use of the Website, Digital Hive, or our services after changes take effect constitutes acceptance of the revised Terms. Material changes affecting active engagements will be communicated directly to affected clients.
